We are looking for a talented, dynamic individual to join Thames Water. You will be required to deliver a professional and efficient company secretarial service to the Board and its Committees, reporting to the Company Secretary who is responsible for the Company Secretariat team and Corporate Governance for the company.

This is a broad, encompassing role in a small team, covering the effective operation of the Board and its Committees and in compliance with all applicable legal requirements, company policies, corporate governance and water industry regulator requirements. The role is highly visible, and the ideal candidate would be confident to engage with, the Board of Directors, senior management and external advisers daily.

 What you will be doing as Assistant Company Secretary

Board and Management Support

  • To provide proactive, high quality, practical, business focussed company secretarial support to all aspects of the Secretariat team’s activities.
  • Develop Board and Committee agenda plans (including annual planner) as well as coordinating the production and circulation of Board and Committee papers by agreed timelines
  • Supporting the Company Secretary in advising the Chair and the Board on governance and regulatory matters
  • The compilation and circulation of Board and Board Committee packs, including preparation of Board papers on governance matters and the use and administration of the Board Intelligence Board portal.

Corporate

  • Support the Company Secretary with the Annual Report process, including assistance with the preparation of the governance section of the report, and supporting other key year-end stakeholders
  • Administration of the corporate calendar, including the collation and preparation of information for interim and annual results
  • Providing support to the Company Secretary where required on corporate transactions

Statutory and Administrative

  • Maintenance of statutory books and records and undertaking all required Companies House filings, accurately and promptly
  • Supporting the Group Finance/HR function where required on subsidiary reports and accounts preparation and approvals and HMRC share scheme returns
  • Managing ad-hoc projects as necessary under the guidance of the Company Secretary
  • Maintaining and updating Thames Water’s corporate governance pages on the website and intranet portal

What you will bring to the role?

  • Qualified Company Secretary (Grad ICSA or ACIS), or legally qualified with requisite experience
  • Extensive post-qualification experience working within a regulated or listed company environment
  • Confident in engaging with senior management, the Chair and other Board members
  • Strong written and verbal communication skills and attention to detail with proven ability to develop good working relationships at all levels within an organisation
  • Experienced at minuting board and committee meetings, preparing and following up actions.
  • Good organisational skills with the ability to multi-task efficiently and effectively.
  • Understanding of Market Abuse Regulation, Companies Act 2006 and UK Corporate Governance Code
  • A focus on the delivery of a high-quality and effective pragmatic solutions-orientated service
  • Ability to handle issues sensitively and confidentially
  • Resilient, adaptable, and capable of taking on new challenges in a fast-paced environment
  • Familiar with Diligent Blueprint and Board Intelligence Board Portal (or similar)
  • Strong Word, PowerPoint and Excel skills
  • Supportive, open, and collaborative approach with a “can do” attitude and prepared to roll up sleeves where necessary
  • Able to work effectively as part of a small team
